Terms of Service

1. Acceptance of Terms

By registering for or using VeriNum (the “Service”), operated by VeriNum (Pty) Ltd (“we”, “us”, or “our”), you agree to be bound by these Terms of Service (“Terms”). If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

VeriNum is a cloud-based accounting and tax filing platform for South African businesses. The Service includes double-entry bookkeeping, bank reconciliation, invoice management, VAT reporting, payroll processing, SARS tax return generation (VAT201, EMP201, EMP501, IRP5/IT3(a), ITR14), and related features accessible at verinum.tech.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where practicable.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must notify us immediately at legal@verinum.tech if you suspect unauthorised access to your account. We are not liable for losses caused by unauthorised use of your account where you have failed to keep your credentials secure.

Accounts are for business use in South Africa. You must be at least 18 years old and legally authorised to operate a business or act on behalf of the business entity registered in the account.

4. Acceptable Use

You agree not to use the Service to:

  • Submit false, fraudulent, or misleading financial or tax data to SARS or any other authority.
  • Violate any applicable South African law, including the Income Tax Act, VAT Act, Tax Administration Act, or Companies Act.
  • Attempt to gain unauthorised access to other tenants' data or to our systems.
  • Introduce malware, viruses, or any code designed to disrupt or damage the Service.
  • Resell, sublicense, or otherwise commercialise the Service without our written consent.
  • Use the Service in a manner that imposes an unreasonable load on our infrastructure.

We reserve the right to suspend or terminate accounts that violate these obligations without prior notice where the violation is serious or ongoing.

5. Fees and Subscriptions

Certain features of the Service may require a paid subscription. Current pricing is published on our website. We will provide at least 30 days' notice before increasing subscription fees for existing customers.

Fees are billed in advance for the subscription period (monthly or annual). All amounts are in South African Rand (ZAR) and inclusive of VAT where applicable. Refunds are not provided for partial periods, except where required by the Consumer Protection Act, 68 of 2008.

If payment fails, we may suspend access to the Service until outstanding amounts are settled. Accounts not renewed within 90 days of suspension may be permanently deleted, with prior notice.

6. Your Data

You retain all ownership of the financial data, records, and documents you upload or create in the Service (“Your Data”). We process Your Data solely to provide the Service and as described in our Privacy Policy.

You are responsible for the accuracy and legality of Your Data, including ensuring that SARS submissions are correct and that you have the right to submit data on behalf of any employees or third parties named in payroll records.

Upon account termination, you may request an export of Your Data within 30 days. After that period, data may be deleted subject to legal retention obligations (minimum 5 years for financial and tax records under South African law).

7. Intellectual Property

The Service, including its software, design, algorithms, and documentation, is owned by VeriNum (Pty) Ltd and protected by applicable intellectual property laws. These Terms do not grant you any right to our intellectual property beyond the limited licence to use the Service for its intended purpose.

You grant us a limited, non-exclusive licence to process Your Data solely to provide, maintain, and improve the Service.

8. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose or uninterrupted availability.

VeriNum assists you in preparing SARS-compliant tax submissions but does not provide tax advice. You remain responsible for the accuracy of all submissions made through the Service. We recommend consulting a registered tax practitioner for complex tax matters.

9. Limitation of Liability

To the maximum extent permitted by South African law, VeriNum (Pty) Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of data, or SARS penalties arising from your use of or inability to use the Service.

Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the fees paid by you in the 12 months preceding the event giving rise to the claim.

Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded under the Consumer Protection Act or other applicable South African law.

10. Indemnification

You agree to indemnify and hold harmless VeriNum (Pty) Ltd and its officers, employees, and agents from any claims, damages, or expenses (including legal costs) arising from your breach of these Terms, your misuse of the Service, or inaccurate data you submit to SARS or other authorities through the Service.

11. Termination

You may cancel your account at any time from your account settings. We may suspend or terminate your account if you breach these Terms, fail to pay fees, or if we are required to do so by law.

On termination, your right to access the Service ceases immediately. Sections 6, 7, 8, 9, 10, and 12 survive termination.

12. Governing Law

These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of the Western Cape Division of the High Court of South Africa, without prejudice to your statutory rights under the Consumer Protection Act.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by a notice on the platform at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
